TCC Urges Customers Doing Business in Delaware to Review Compliance Status

Amendments to Delaware's business laws that became effective on January 1, 2007 require businesses formed and/or doing business in Delaware to provide their Registered Agent with their current contact information.

Specifically, these businesses must provide their Registered Agent with the name, business address, and business telephone number of a natural person who will serve as their Communications Contact. Businesses must also periodically update this information. This legislation applies to corporations, Limited Liability Companies (LLCs), partnerships, and limited partnerships.

Last year, The Company Corporation carried out a comprehensive program to assist customers in complying with the new legislation. We are now revisiting the matter to urge our customers to review their contact information and ensure that they are in compliance with the law.

When you appointed The Company Corporation as your Registered Agent in Delaware, you provided us with a contact to receive tax notices and compliance mail from the state. (TCC refers to this contact as your "Compliance Contact.") For these companies either formed or doing business in Delaware, we have named this same individual as your Communications Contact in order to comply with the changes to the law.

If you do business in Delaware but did not provide us with the name of an individual to serve as the Communications Contact. Your can also contact us to update the name currently listed. Please contact us at recordschange@incorporate.com. Don't forget to include your company's name and the new/updated communications contact information.
