  2. What is the best business entity type for my clients?

    Choosing the best entity for your client is typically dependent on the particular circumstances involved, such as the size and nature of the company's business, and number of owners or members and their respective rights and obligations.

    Many customers find that an LLC provides them with a simpler and more flexible way to protect their assets from claims that might result from their business or real estate investment.

    An LLC may have tax advantages over a corporation. For example, an LLC with one owner may not have to file a separate tax return and its profit or loss can be included in the owner's personal tax return. A corporation must file separate returns.

  3. In the past, my legal practice served as the registered agent for my client's business. This got to be burdensome over time. Does The Company Corporation offer to serve as a registered agent on behalf of my clients?

    Yes. The Company Corporation provides registered agent services in all 50 states and the District of Columbia.

    If we receive a lawsuit on behalf of a Registered Agent customer, we send a Notice of Service of Process with the legal document that identifies who is suing the customer, in what court, how and when the lawsuit was served, the nature of the case, and how much time the customer has to answer the lawsuit. If the name of the company being served is similar, but not the same as our customer's, we call the customer for guidance on whether to receive or reject the suit.

    In some states, annual reports and franchise tax notices are sent to a Registered Agent. If that's the case, we'll forward them to our customers in a timely manner. For an additional fee, we can even arrange an advance payment of your Delaware franchise taxes to help avoid late penalties.

    The timing of when to incorporate or form a limited liability company may be based on a number of factors. We find that many clients choose to incorporate when a tax situation or potential for liability demands them to incorporate or form a limited liability company.

  6. Several clients have inquired about getting an Employer Identification Number (EIN). Can The Company Corporation obtain Employer Identification Numbers for my clients?

    The Company Corporation can secure an EIN number for your clients with a complete package selection or as an individual option for a $75 fee. In order to secure the EIN, we will need information such as the corporation name, state, type of entity, and the purpose of the business. We will prepare the forms, and send them back to you or your client. However, we do require the business owner's signature on the forms before they can be processed. The EIN number will take approximately 3-5 business days to secure, once we have received the completed forms. The EIN number will then be emailed to you or your client.

  7. One of my new clients wants to incorporate or form an LLC out of state. Does The Company Corporation incorporate businesses in all fifty states? What if my client is already incorporated in one state but wants to do business in a new state? Can The Company Corporation register my client to conduct business in new states?

    Yes! Many companies conduct business throughout the U.S. and abroad. A corporation having business locations in multiple states may form a corporation or LLC in a single state, then "qualify to do business" in other states. This means companies must formally register, file annual reports and pay annual fees to obtain authority to conduct business in those states; and benefit from the laws of the state. The Company Corporation can assist your client in qualifying a corporation or LLC as well as keeping track of corporate filing requirements in any state.
